These terms of sale govern the sale of Sicomia subscriptions and services.
1. Purpose
These general terms of sale govern the sale of Sicomia subscriptions and services (theme, modules and AI Dashboard), as well as the rights and obligations of the parties.
2. Contractual documents and hierarchy
The contract consists, in descending order of priority, of: (i) specific conditions or quotations, (ii) these terms of sale, (iii) Terms of Use (ToU), (iv) Privacy Policy, (v) Cookie Policy, (vi) Legal Notice. In the event of any contradiction, the higher-ranking document shall prevail.
3. Scope of application
These terms apply to any purchase made on the website by a professional customer. The services are mainly intended for professionals acting for purposes falling within the scope of their commercial, industrial, craft or liberal activity. If a customer acts as a consumer, they must declare this before ordering. Failing that, they are deemed to be acting in a professional capacity.
4. Non-professional use and absence of legal structure
Sicomia may offer its tool to individuals who do not have an official legal structure. In that case, the user remains solely responsible for their choices and their legal, tax and social situation. Sicomia assumes no liability related to the absence of a legal structure. We recommend strictly recreational and non-profit use. For any commercial activity, we recommend having an appropriate legal structure and completing the necessary formalities.
5. Offers, ordering and access
The offers and their features are described on the website. The order is validated after payment is confirmed (or after a trial starts, where applicable). Access to the service is granted for the duration of the subscription. The publisher reserves the right to refuse or cancel an order in the event of anomaly, fraud or unpaid amounts.
6. Pricing
Prices are stated in euros. Depending on the customer's profile, they may be displayed excluding VAT or including all taxes. The applicable VAT is indicated before order confirmation. The publisher reserves the right to change its pricing, with the applicable prices being those in force at the time of the order.
7. Term, renewal and termination
The subscription is entered into for the chosen term (monthly or yearly) and renews automatically for identical periods unless terminated before the renewal date from the customer account area. Termination takes effect at the end of the current period, with no pro rata refund (unless mandatory legal provisions apply). In the event of unpaid amounts or a serious breach of the terms of sale/terms of use, access may be suspended.
8. Payment and invoicing
Payment is made by bank card or any other means indicated when ordering. Payment is due when the order is placed and conditions access to the service. Subscription instalments are charged at each renewal period. An electronic invoice is issued and made available to the customer.
9. Late payment (professional customers)
In the event of late payment, penalties are automatically due by law, as well as a fixed recovery fee of €40. The penalty rate is equal to the European Central Bank reference rate plus 10 points, calculated from the due date.
10. Withdrawal right (consumers)
For consumer customers, the statutory 14-day withdrawal period applies from the date of the order. If the customer requests immediate access to the service before the end of that period, they acknowledge that they waive their withdrawal right once the service has been fully performed. In the event of partial performance, a proportional amount for the service provided may remain due. The withdrawal right may be exercised by writing to contact@sicomia.com.
11. Intellectual property
The elements of the service, website and theme remain the property of the publisher. The customer benefits from a non-exclusive right of use limited to the duration of the subscription.
12. Personal data
The processing of personal data is described in the Privacy Policy.
13. Mediation (consumers)
Consumer mediation does not apply to professional customers. Where applicable, the contact details of the competent mediator are indicated during the ordering process.
14. Applicable law — jurisdiction
These terms of sale are governed by French law. In the event of a dispute, jurisdiction is assigned to the territorially competent courts, subject to mandatory public policy provisions.
